Platform
The ListifyPro technology and service that facilitates transparent offer rounds.
Transparent Offer Round
A structured process where eligible buyers can simultaneously submit and view competing offers during a defined offer window, promoting competition and fair pricing.
Eligible Buyer
A buyer who has met platform requirements (pre-qualification, earnest money deposit, or other verified criteria) to participate in a transparent offer round.
Offer Window
The seller-defined timeframe during which offers can be submitted. All eligible buyers are notified of the window start and end time.
Not An Auction
Transparent offer rounds are not auctions. Buyers are not bidding against each other in real-time. Offers submitted during the window are private until the round closes, at which point the seller reviews all offers together to make an informed decision. The seller retains full control to accept, reject, or counter any offer.
Seller Authority
The seller is fully responsible for initiating offer rounds and setting the offer window parameters. The platform facilitates the process but does not compel or recommend offer rounds. All decisions—including whether to hold a round, who is eligible, and how long the window remains open—rest entirely with the seller.
Buyer Non-Reliance
Buyers acknowledge they are not relying on the platform or the seller to guarantee that a transparent offer round will occur, remain open for a certain duration, or include any specific number of competing buyers. Participation in an offer round does not guarantee an offer will be accepted, counter-offered, or receive feedback.
Data Disclaimer
Any data, pricing information, or market insights provided by the platform during an offer round are for informational purposes only. The platform does not guarantee accuracy, completeness, or relevance of market data. Buyers and sellers must conduct their own due diligence and may consult independent appraisers, agents, or advisors.
Timing Control
The seller may close, extend, or cancel an offer round at any time. The platform will notify participating buyers of any changes, but the seller's discretion is absolute. No buyer has any claim to continued participation or a minimum offer window duration.
Platform Role Disclaimer
The platform is a neutral facilitator. It does not endorse, evaluate, or recommend any offer. It does not negotiate on behalf of the seller or buyer. It does not verify the accuracy of offer terms, financing capability, or earnest money deposits beyond initial platform checks. All negotiations and final decisions are between the buyer and seller.
Limitation of Liability
The platform is not liable for: (1) failed, delayed, or cancelled offer rounds; (2) loss of offers due to technical issues; (3) disputes arising from offer terms or negotiations; (4) errors in market data or pricing information; (5) buyer or seller decisions made based on transparent offer round data or processes; or (6) any indirect, incidental, or consequential damages.
