Terms of Service

1. Acceptance of Terms

By accessing or using ListifyPro ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Platform. These terms apply to all users, including buyers, sellers, lenders, escrow officers, and other participants in real estate transactions.

2. Description of Service

ListifyPro is a technology platform that facilitates residential real estate transactions. The Platform provides tools for property listing, buyer-seller communication, offer management, escrow coordination, document signing, title search, AI-powered market analysis (T.O.D.D.), payment processing, and lender pre-qualification workflows. ListifyPro is not a licensed real estate brokerage, law firm, title company, or financial institution.

3. User Accounts

You must register an account to use most features of the Platform. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to update it as necessary. You must be at least 18 years old to create an account. ListifyPro reserves the right to suspend or terminate accounts that violate these terms.

4. Property Listings

Sellers are responsible for the accuracy of their property listings, including descriptions, photographs, pricing, and property condition disclosures. ListifyPro does not independently verify listing information. Misrepresentation of property details may result in account suspension and potential legal liability. All listing content must comply with the Fair Housing Act and applicable state and local housing laws.

5. Transactions and Payments

ListifyPro facilitates transactions between buyers and sellers but is not a party to the sale. Payment processing is handled through Stripe, a PCI-compliant third-party payment processor. Earnest money deposits, escrow fees, and other transaction payments are subject to the terms of the escrow agreement between the parties. ListifyPro charges a platform service fee as disclosed at the time of transaction. Refund policies are governed by the applicable escrow and purchase agreements.

6. AI-Powered Features (T.O.D.D.)

T.O.D.D. (Transactional On-Demand Digital Docent) provides AI-generated market analysis, property comparables, neighborhood data, and pricing guidance. While T.O.D.D. uses real data sources including ATTOM, US Census, FEMA, and EPA databases, its output is for informational purposes only and does not constitute professional real estate appraisal, legal advice, or financial advice. Users should conduct their own due diligence and consult licensed professionals for significant decisions.

7. Document Signing

The Platform provides electronic document signing capabilities. By using these features, you consent to electronic signatures as valid and binding under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state laws (UETA). You are responsible for reviewing all documents before signing. ListifyPro recommends consulting a real estate attorney before signing any legal documents.

8. Escrow Services

Escrow coordination features are provided to facilitate communication and document management between parties. Actual escrow services are provided by licensed escrow companies or title companies. ListifyPro does not hold funds in escrow. All escrow-related disputes are between the parties and the escrow holder.

9. Limitation of Liability

ListifyPro provides the Platform "as is" and makes no warranties, express or implied, regarding the accuracy, completeness, or reliability of any information provided through the Platform. To the maximum extent permitted by law, ListifyPro shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

10. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive your right to a jury trial and to participate in class action lawsuits. Small claims court actions are exempt from this arbitration requirement.

11. Changes to Terms

ListifyPro may modify these Terms at any time. Material changes will be communicated via email or through the Platform at least 30 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance of the modified Terms.
